Terms of Service

These Terms of Service (“Terms”) govern access to and use of the TUITIONsimple platform at tuitionsimple.ccmssolutions.com and the tenant portals hosted on it (the “Service”), operated by Complete Content Management Services, Inc. (“CCMS,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

1. The Service

TUITIONsimple is a tutoring management platform that provides scheduling, billing, session management, and related tools to tutoring businesses (“Customers”) and their authorized users, including administrators and tutors. We may modify, add, or discontinue features of the Service at any time.

2. Accounts and Eligibility

Accounts are provisioned for Customers and their authorized users. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use. The Service is intended for business use by tutoring organizations and their staff, not for use directly by children.

3. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law or regulation;
  • Access, tamper with, or use non-public areas of the Service or our systems without authorization;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Upload malicious code or attempt to gain unauthorized access to any account or data; or
  • Use the Service to store or transmit content you do not have the right to store or transmit.

4. Customer Data and Ownership

As between the parties, the Customer owns the data it and its users enter into the Service (“Customer Data”). The Customer grants us the rights necessary to host, process, and transmit Customer Data solely to provide and support the Service. The Customer is responsible for the accuracy of Customer Data, for having the necessary rights and consents to provide it (including any student and parent information), and for its users’ compliance with these Terms. Our handling of personal information is described in our Privacy Policy.

5. Third-Party Integrations; Google Calendar

The Service may offer optional integrations with third-party services. If a tutor chooses to connect a Google Calendar, that feature is subject to these Terms and to Google’s applicable terms, and our use of Google user data is described in, and limited by, our Privacy Policy, including our commitment to the Google API Services User Data Policy and its Limited Use requirements. Connecting a third-party service is optional, and you may disconnect it at any time. We are not responsible for third-party services or their availability.

6. Fees

Fees for the Service, if any, are set out in the separate agreement or order between CCMS and the Customer. Except as required by law or expressly stated in that agreement, fees are non-refundable.

7. Intellectual Property

The Service, including its software, design, and content, and the TUITIONsimple name and logo, are owned by CCMS and its licensors and are protected by intellectual property laws. TUITIONsimple is a trade name and brand of Complete Content Management Services, Inc. Except for the limited right to use the Service under these Terms, no rights are granted to you.

8. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, CCMS and its educators, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts paid by the Customer for the Service in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless CCMS and its affiliates from any claims, damages, and expenses arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

11. Term and Termination

These Terms apply while you use the Service. We may suspend or terminate access if you violate these Terms or to protect the Service or its users. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive, including Sections 4, 7, 8, 9, and 10.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with a new Effective Date at tuitionsimple.ccmssolutions.com. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
